Section 1. Definitions and acceptance of the Terms of Use

1.1. Definitions

1.2. Legal force

These Terms of Use of the Website (hereinafter — the “Terms” or “Terms of Use”), including all accompanying documents, constitute a legally binding agreement between you and SelfStartGlobal.

1.3. Application of the Terms

These Terms and any accompanying documents come into force and are binding on you each time you use the Website.

1.4. Review and compliance

You must carefully review and comply with these Terms. We recommend that you return to their text regularly, since the Terms may change and contain important legally significant provisions, including the regulation of your rights.

1.5. Acceptance of the Terms

By using the Website, you confirm that you have fully read, understood and unconditionally accepted these Terms. If you do not agree with the Terms in whole or in part, you are prohibited from using the Website and any related Services, including the Platform.

Section 2. General provisions

2.1. Amendment of the Terms and notices

You acknowledge and agree that these Terms, any accompanying documents and/or the Website itself and/or the Platform may be changed, modified and supplemented at any time without prior written notice — at the Company’s discretion and/or as may be necessary. Publication on the Website of an updated version of the Terms indicating the date of the update shall be deemed proper notice. Your continued use of the Website after such changes means your consent to them.

2.2. Age restrictions

Use of the Website and of the services offered on it is available to persons aged 13 and over. By using the Website and any related Services, you confirm and warrant that you are at least 13 years old. If you are 13 years old or older and have not yet reached the age of majority under the Applicable Law and under the law of your country of residence and citizenship, you must review the Terms in the presence of at least one of your parents/guardians/custodians. In such a case, your use of the Website confirms that you and your legal representative have fully reviewed and agree with the Terms. Persons under the specified age must not enter into transactions on the Website and/or use it without the consent of their parents/guardians/custodians or of other persons legally responsible for you.

2.3. Ordering services on behalf of another person

If you order Services on behalf of another person, you must ensure that the recipient of the Services is aware of these Terms and accepts them. By completing and submitting the order form, you warrant that you have notified the recipient of the Services of the Terms and that the recipient has accepted them.

2.4. Provision of third-party data

If, when arranging the Services, you provide personal and/or other data of a third party, you warrant that the owner of such data consents to the provision of this information to SelfStartGlobal, is aware of and agrees with these Terms, as well as with the Privacy Policy posted on the Website.

2.5. Third-party websites and services

The pages of the Website may host services of partners, suppliers, software developers and/or links to third-party websites and services. Such services and links are provided for your convenience; at the same time, the Website Owner does not endorse or confirm any third-party website or its content, unless otherwise expressly stated by the Website Owner. The Website Owner does not guarantee the security of third-party websites or their conformity with your expectations, is not responsible for the preservation of the materials to which the links lead, and does not provide any warranties, recommendations or endorsements of such websites/services. The Website Owner shall not be liable for any damage/losses or other consequences arising directly or indirectly from the use of any materials, goods or services available on/through such third-party resources. Such services may have their own terms — review them before use.

Section 3. Messages and posting of content

3.1. Messages

We may provide the opportunity to send messages and otherwise interact with us or with other users through the Website and/or the Platform. You bear sole responsibility for your Messages and for the consequences of sending them, and you expressly release us from any liability arising out of your Messages. You grant us a worldwide right to use, store and reproduce your Messages for limited purposes: ensuring their transmission to the recipients chosen by you (including the use of third-party providers for transmission), ensuring the use of our services by you and by other users, analysing and improving the services, resolving legal claims (by us or against us), as well as on other grounds required by applicable law. You represent and warrant that your Messages do not infringe the rights of third parties.

3.2. Prohibited actions

3.3. Removal of content

We have the right to delete any Messages or other content on the Website and/or the Platform that violate the principles set out in clause 3.2, or that, at our discretion, are deemed inappropriate.

3.4. Public fields

The Website may offer options for publishing user content or other personal information in public fields. Any information posted in such a field becomes public and may be accessible to other users. SelfStartGlobal shall not be liable for any unauthorised and/or otherwise unlawful use by other users of the information published by you.

Section 4. Release from liability and compensation for damages (Indemnification)

4.1. To the extent permitted by the Applicable Law, you undertake to release from liability, defend and hold harmless the Website Owner and/or its subsidiaries and affiliates, directors, officers, employees, agents and successors from any claims, losses, lawsuits, complaints, demands, expenses, costs and/or liability (including reasonable costs of lawyers’ services and/or the costs necessary to establish the right to indemnification) asserted/incurred by third parties in connection with any breach by you of the warranties, representations or obligations under this Agreement. You must keep the data of your account confidential and bear personal responsibility for such confidentiality.

4.2. You shall not be entitled to bring claims against the Website Owner in connection with its failure to perform the obligations under these Terms for reasons beyond its control, including, but not limited to: a strike, lockout, shortage of labour or materials, transportation delays, hacker attacks on the Website or on resources related to it, an accident, a natural disaster, acts of state authorities, communication failures, power outages, malfunctions of equipment or software, other force majeure events.

Section 5. Platform

5.1. The Website hosts an educational Platform intended to assist users with admission to foreign universities. The Platform makes it possible to register and to track all actions related to admission, including the User’s personal data, questionnaire data, activity and achievements, documents for submission, as well as general information about the admission process.

5.2. SelfStartGlobal takes the necessary security measures with regard to the User’s credentials. However, the Company shall not be liable for unauthorised access to the User’s account if such access was obtained using data provided by the User himself, as well as in the event that the User publishes his data in public fields. Users are strongly advised to take all reasonable security measures to protect their registration data from unauthorised use.

5.3. For reliable and secure storage of personal data, our platform uses the services of third-party hosting providers. We carefully select providers and require them to comply with all applicable data protection rules and standards, including the EU General Data Protection Regulation (GDPR).

5.4. The use of the services of third-party hosting providers makes it possible to provide high-quality and reliable services while maintaining the security and confidentiality of data. Providers are obliged to implement appropriate measures of protection against unauthorised access to, alteration, disclosure or destruction of data, to ensure the confidentiality and integrity of data on their servers and to process personal data only to the necessary and reasonable extent. We regularly monitor and audit providers for compliance with the GDPR and other rules. However, we cannot fully control the actions of third parties; accordingly, we shall not be liable for any leak/disclosure of your personal data caused by a hosting provider or by other third parties, unless this is a consequence of wilful misconduct or gross negligence on our part.

5.5. By providing personal data through our Website, you agree that your data may be transferred to and processed on the servers of our hosting providers located in various jurisdictions, including countries outside the European Economic Area (EEA). We take all necessary measures to ensure proper protection of your data during such transfers. For questions regarding data storage, contact us at the address specified in the “Contacts” section. In the event of a leak incident caused by a hosting provider, we undertake to notify you promptly and to take all possible measures to minimise the consequences.

Section 6. Intellectual property and confidentiality

6.1. All materials, copyrights, trademarks (registered or not), designs, patents and other legally protected interests are recognised or protected as objects of intellectual property under the law of the jurisdiction of these Terms (“Intellectual Property”).

6.2. SelfStartGlobal holds the exclusive intellectual property rights in all parts of the Platform and the Website, including, but not limited to, documents, articles, texts, products and services provided by us (with the exception of user content). Users are granted a revocable, limited, non-exclusive and non-transferable licence to view published materials and information for informational purposes and for personal non-commercial use. If you believe that materials or information on the Website infringe your copyright or other rights, notify us immediately at the address from the “Contacts” section.

6.3. It is prohibited to:

6.4. The use of the Website’s materials without our consent is not permitted. When quoting and/or otherwise mentioning materials belonging to our company, it is mandatory to indicate a reference to our company and the Website.

Section 7. GDPR and confidentiality

7.1. We comply with the EU General Data Protection Regulation (GDPR), applicable to the processing of personal data of users from the European Union, and take all necessary measures to protect the private life and security of your personal data in accordance with the requirements of the GDPR.

7.2. Your personal information is used solely for the purposes for which it was collected. You have the right to request access to, rectification or erasure of personal data, restriction of processing, or to object to processing. To exercise your rights, contact us at hello@selfstartglobal.com.

7.3. We store your personal data only for as long as is necessary to achieve the relevant purposes, including compliance with legal, accounting and reporting requirements. The retention period is determined taking into account the volume, nature and confidentiality of the data, the possible risks of unauthorised use or disclosure, the purposes of processing and the possibility of achieving them by other means, as well as the applicable requirements of the law. Upon expiry of the retention period or when the need ceases, we will securely delete or anonymise the data. For questions regarding retention periods, contact us through the contacts in the “Contacts” section.

7.4. Appropriate technical and organisational measures have been implemented to protect your personal data from unauthorised access, alteration, disclosure or destruction.

7.5. In the event of a data leak, we undertake to notify you and the competent authorities in accordance with the requirements of the GDPR.

Section 8. Final provisions

8.1. These Terms constitute the entire and exclusive agreement between the parties regarding the use of the Website and the Services and supersede all previous agreements on this subject. If the parties conclude a separate agreement on the provision of services, the provisions of such agreement shall also apply.

8.2. Termination and suspension. The Website Owner has the right, without prior notice and at its own discretion, to terminate these Terms, to suspend your access to the Website, to delete or deactivate your Account and all related materials without any liability (including, but not limited to, in the event of your breach of the Terms or where there are grounds to believe that you have committed fraud, negligence or another unlawful act). You may terminate the Terms by notifying us. All rights granted to you terminate immediately upon termination of the Terms or suspension of access. In the event of force majeure (see clause 8.8), breach of this agreement or other events making the provision of services commercially impracticable, the Website Owner may, at its discretion, suspend your access in whole/in part, with or without notice.

8.3. If any provision of the Terms is found by a court/competent authority to be invalid or unenforceable, such provision shall be amended and interpreted as closely as possible to the purposes of the original one, within the framework of the applicable law; the remaining provisions shall continue to apply.

8.4. The absence of, or a delay in, our exercise of any right/power under the Terms, or a single partial exercise thereof, shall not mean a waiver of the further exercise of that or any other right/provision.

8.5. We may transfer our rights and obligations under the Terms at any time provided that there is no prejudice to your rights and obligations. You may not transfer your rights and obligations without our prior written consent; any transfer without such consent is invalid.

8.6. Communication and notices. Communications regarding performance/breach of the Terms are carried out through your e-mail and the Website Owner’s contact form on the Website. The languages of communication are English, Ukrainian and Russian. Notices may be sent: (i) by publication on the Website (they take effect from the moment of publication) and/or (ii) by sending an e-mail to the address indicated by you in your account (deemed received from the moment of sending, regardless of actual reading).

8.7. You agree to cooperate with the Website Owner and to provide assistance with any requests/checks/investigations of state authorities, promptly providing documents, certificates, records or other information that it requests.

8.8. Force majeure. The Website Owner shall not be liable for losses/damage resulting from events beyond reasonable control, including, among other things: flood, extreme weather conditions, earthquake or other natural disaster, fire, war, riot, strike, labour dispute, acts of the authorities, communication failures, power outages, breakdowns of equipment or software, or other circumstances of insuperable force.

8.9. Applicable law and severability. All matters of construction, validity, performance and interpretation of these Terms are governed by and construed in accordance with the law of the Netherlands. The provisions of the Terms are severable: the invalidity of any provision does not affect the validity of the remaining ones; an invalid provision shall be replaced by a valid one that reflects the meaning of the original as closely as possible.

8.10. Dispute resolution. The parties shall first conduct good-faith negotiations for at least 60 (sixty) days after written notice of the disagreements/claim. If the dispute is not settled, the parties unconditionally refer it to binding arbitration under the rules of the Court of Arbitration of the International Chamber of Commerce; the dispute shall be considered by one or more arbitrators in accordance with the said rules. Exception: disputes in which either party seeks an injunction/other remedies in connection with the alleged unlawful use of intellectual property (including copyrights, trademarks, trade names, logos, know-how, patents) — for such disputes you and the Website Owner (a) waive the right to have the dispute considered by a jury and (b) waive the right to class consideration. The substantive law is the Applicable Law (including other effective rules, policies and procedures of the Website Owner published on the Website from time to time), without regard to conflict-of-law rules. The language of the arbitration is English.

8.11. Nothing in the Terms limits our right to institute enforcement proceedings in another jurisdiction or to apply for temporary/preliminary relief in the courts of another jurisdiction.

8.12. No affiliation with universities. SelfStartGlobal is not affiliated with the universities information about which is published (or may be published) on the Website. The Website does not guarantee the quality of specific universities, educational and other programmes. We do not provide and are not obliged to provide any quality guarantees for any university and/or programme; any information about the status and competences of such universities/programmes is subjective in nature.

8.13. Marketing use of admission results. When purchasing any of our services, you grant us the irrevocable right to use the description of your profile and your admission results (including the offers received) for the necessary purposes, including commercial and advertising ones. Such use may include publication on the Website and on social networks with reasonable use of personal data, in particular: name, age, year and country of admission, programme and the amount of funding received. We do not publish information such as surname and patronymic, exact date of birth, address of registration and residence, contact and banking details.
